As we prepare for our IPO in India and the next phase of growth, we are seeking an accomplished Company Secretary with proven expertise in IPO execution, corporate governance, regulatory compliance, and Board advisory services.
The role will work closely with Management, the Board of Directors, legal counsel, merchant bankers, auditors, and other key advisors to establish a world-class governance and compliance framework for a listed company.

Role
Working closely with the Board of Directors, the ideal candidate will serve as the organisation's primary governance and compliance leader, providing strategic direction on corporate secretarial, regulatory, and listing matters.
The successful candidate will guide the company through IPO preparation, manage statutory and regulatory compliance, strengthen governance practices, and uphold the highest standards of transparency, accountability, and stakeholder trust.
Key Responsibilities
Strategic IPO Leadership
- Lead and oversee the entire IPO process for the company.
- Collaborate with merchant bankers, SEBI, stock exchanges, legal advisors, registrars, depositories, auditors, tax experts, and other intermediaries.
- Ensure IPO readiness in governance, compliance, documentation, disclosures, and due diligence.
- Manage the preparation and review of the DRHP, RHP, offer documents, and all regulatory filings.
- Facilitate investor engagement and listing activities by successfully completing the IPO process.
Corporate Governance & Board Advisory
- Serve as a trusted governance advisor to Management and the Board of Directors.
- Develop and enhance governance frameworks to meet listed-company standards.
- Facilitate Board, Committee, and Shareholder Meetings.
- Draft comprehensive Board papers, resolutions, governance policies, and minutes.
- Advise senior leadership on evolving regulatory and governance standards.
Regulatory Compliance
- Ensure strict adherence to the Companies Act, 2013, SEBI Regulations, Secretarial Standards, FEMA, RBI requirements, and all relevant corporate laws.
- Supervise statutory filings, disclosures, compliance reports, and governance certifications.
- Develop comprehensive compliance-monitoring systems and organisation-wide governance procedures.
Corporate Transactions
- Lead the secretarial aspects of fundraising, equity issuance, capital restructuring, buybacks, strategic investments, and other corporate actions.
- Support mergers, acquisitions, business restructuring, and strategic transactions, as required.
Stakeholder Management
- Build trusted relationships with regulators, external advisors, auditors, institutional stakeholders, and investors.
- Serve as the central point of coordination for all corporate governance and listing-related activities.
Candidate Profile
We are looking for an accomplished governance professional with the credibility, technical depth, and executive presence required to lead a company through one of the most significant milestones in its corporate journey.
Essential Qualifications
- Qualified Company Secretary (ACS/FCS) and Member of the Institute of Company Secretaries of India (ICSI).
- An LLB and/or additional qualifications in corporate law, finance, or governance will be advantageous.
Experience
- Minimum 10–15 years of progressive post-qualification experience.
- Demonstrated experience in successfully leading or playing a significant role in an Indian IPO and listing process is strongly preferred.
- Experience with listed companies or organisations transitioning to public markets.
- Exposure to pharmaceutical, biotechnology, healthcare, life sciences, manufacturing, or innovation-driven businesses will be highly regarded.
Knowledge & Competencies
- In-depth knowledge of Indian capital markets and IPO regulations.
- Extensive understanding of the Companies Act, SEBI ICDR and LODR Regulations, FEMA, and Secretarial Standards.
- Demonstrated success in managing complex regulatory projects involving multiple stakeholders.
- Excellent drafting, negotiation, and communication skills.
- Mature and confident in advising Boards and senior leaders.
